Terms of Service

1. Agreement to Terms

By engaging TwoZeroTwo LLC (“TwoZeroTwo”, “we”, “us”) for any service, you agree to be bound by these Terms of Service. TwoZeroTwo is a Wyoming LLC with a registered address at 30 N Gould St, Ste R, Sheridan, WY 82801, USA.

2. Services

TwoZeroTwo provides web development, SEO optimization, web automation, and related digital services as described in individual project agreements or selected pricing packages. The specific scope, deliverables, timeline, and pricing for each engagement are confirmed in writing (email or proposal) before work begins.

3. Payment Terms

• Upfront payment: All project fees are due in full (or as agreed in the project proposal) before work commences, unless a milestone-based schedule is agreed in writing.
• Hosting fees: Monthly hosting fees are billed at the start of each billing period and are non-refundable once the billing period has begun.
• Add-ons: Additional services outside the agreed scope are billed separately and require written approval.
• Late payments: Invoices unpaid after 14 days may result in suspension of services.

4. Refund Policy

Due to the custom nature of our work:

• Project fees are non-refundable once work has commenced.
• If TwoZeroTwo is unable to begin a project after payment, a full refund will be issued.
• Hosting fees are non-refundable for the current billing period but you may cancel anytime with no further charges.

5. Revisions

Each package includes a defined number of revision rounds as stated in the pricing. A revision is defined as consolidated feedback provided in a single batch. Additional revision rounds are available at an add-on rate agreed in writing.

6. Client Responsibilities

You agree to:

• Provide accurate information, content, and timely feedback required for project completion.
• Ensure you have the rights to any content, images, or materials you supply to us.
• Not use any deliverable for unlawful purposes.

7. Intellectual Property & Code Ownership

Upon receipt of full payment, you receive full ownership of the delivered website codebase. TwoZeroTwo retains the right to showcase the completed project in our portfolio unless you request otherwise in writing. We retain ownership of any proprietary internal tools, frameworks, or methodologies used in the build.

8. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the engagement. This obligation survives termination of the agreement.

9. Limitation of Liability

To the maximum extent permitted by law, TwoZeroTwo's total liability for any claim arising out of our services shall not exceed the amount paid by you in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

10. Termination

Either party may terminate an engagement with 14 days written notice. If you terminate after work has begun, fees for completed work are non-refundable. TwoZeroTwo may terminate immediately if you breach these terms.

11. Governing Law

These Terms are governed by the laws of the State of Wyoming, USA. Any disputes shall be resolved in the courts of Sheridan County, Wyoming.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of our services after any changes constitutes acceptance of the new Terms.
